These Terms of Service and Software License Agreement (the "Terms") form a binding agreement between you and Meridian Works LLC, a Rhode Island limited liability company ("Meridian Works," "we," "us," or "our"), governing your use of the Aventi iOS application and related services (the "App"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. Apple Terms
These Terms are between you and Meridian Works only, and not with Apple Inc. ("Apple"). Your use of the App must also comply with Apple's Media Services Terms and Conditions and the Apple Media Services (App Store) usage rules. Apple has no obligation to provide maintenance or support for the App. In the event the App fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you upon your acceptance.
2. License Grant
Subject to these Terms, Meridian Works grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on Apple-branded devices that you own or control, as permitted by the Apple Media Services Terms and Conditions, solely for your personal, non-commercial use. The App is licensed, not sold.
3. Restrictions
You agree not to: (a) copy, modify, or create derivative works of the App; (b) reverse engineer, decompile, or attempt to extract the source code of the App, except to the extent applicable law expressly permits; (c) rent, lease, lend, sell, redistribute, or sublicense the App; (d) remove or alter any proprietary notices; (e) use the App for any unlawful purpose or in violation of these Terms; or (f) circumvent any technical or licensing restrictions of the App.
4. Wellness Utility — Not a Medical Device
Aventi is a wellness utility, not a medical device. The App is intended for general lifestyle and wellness purposes, such as supporting a consistent daily routine, morning focus, and rhythmic breathing. It is not intended to diagnose, treat, cure, mitigate, or prevent any disease or health condition, and it is not a substitute for professional medical advice or care. Always seek the advice of a qualified health professional with any questions about a medical condition. Never disregard professional advice or delay seeking it because of something in the App.
5. Alarm Reliability and Safety
The App uses Apple's AlarmKit and related system features to schedule alarms. Alarm delivery depends on your device, its settings, battery level, volume, Focus modes, software version, and other factors outside our control. You are responsible for verifying that your alarms are set correctly and for maintaining an appropriate backup for time-critical commitments. Do not rely solely on the App for events where a missed alarm could cause harm or significant loss. Haptic and audio features should not be used while driving or operating machinery.
6. Subscriptions, Free Trial, and Auto-Renewal
- Pricing: Aventi premium access is offered at $4.99 per month (with a 7-day free trial) or $29.99 per year (no trial, billed upfront). Prices are in USD; pricing may vary by region and taxes may apply.
- Free trial: New subscribers to the monthly plan may be eligible for a 7-day free trial. The yearly plan does not include a free trial. If you do not cancel a monthly trial at least 24 hours before it ends, your subscription begins and you will be charged the applicable price. Any unused portion of a free trial is forfeited when you purchase a subscription.
- Payment: Payment is charged to your Apple ID account at confirmation of purchase or, for the monthly plan, at the end of the free trial.
- Auto-renewal: Subscriptions renew automatically unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours before the end of the current period at the price of the selected plan.
- Management and cancellation: Subscriptions are managed through your Apple ID. You can manage or cancel at any time in iOS Settings > [your name] > Subscriptions. Deleting the App does not cancel your subscription.
- Refunds: Purchases are processed by Apple, and refund requests are handled by Apple in accordance with its policies. Meridian Works cannot issue refunds for App Store purchases.
7. Privacy
Your use of the App is also governed by our Privacy Policy, which explains that App data is stored on your device and is not transmitted to us. The Privacy Policy is incorporated into these Terms by reference.
8. Intellectual Property
The App, including its software, design, audio compositions, haptic patterns, text, and trademarks, is owned by Meridian Works LLC or its licensors and is protected by United States and international intellectual property laws. Except for the limited license in Section 2, no rights are granted to you. Feedback you send us may be used by us without obligation to you.
9. Updates and Changes
We may update, modify, or discontinue features of the App from time to time. Updates may be required to continue using the App. We may also change subscription pricing in the future; price changes will be handled in accordance with Apple's subscription policies, and where required, you will be given notice and the opportunity to decline before a new price takes effect.
10. Termination
These Terms are effective until terminated. Your rights under these Terms terminate automatically without notice if you fail to comply with any provision. Upon termination, you must stop using the App and delete all copies from your devices. Sections that by their nature should survive termination will survive.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALARMS WILL ALWAYS SOUND AT THE TIME SPECIFIED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERIDIAN WORKS LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, INCLUDING MISSED OR DELAYED ALARMS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR FIFTY U.S. DOLLARS (US$50). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Meridian Works LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the App, to the extent permitted by law.
14. Product Claims and Third-Party Rights
Meridian Works, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and consumer protection claims. In the event of a third-party claim that the App infringes intellectual property rights, Meridian Works, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Rhode Island, USA, without regard to its conflict-of-law principles. Subject to any mandatory consumer protections in your place of residence, you agree that any dispute arising out of these Terms or the App will be brought exclusively in the state or federal courts located in the State of Rhode Island, and you consent to the personal jurisdiction of those courts.
16. Export and Legal Compliance
You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable laws when using the App.
17. General
These Terms, together with the Privacy Policy, are the entire agreement between you and Meridian Works regarding the App. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may update these Terms from time to time, and continued use of the App after an update constitutes acceptance.
